Important Notice Concerning Healthcare Information

Materials on this public website provide general information about our software systems. They do not constitute medical advice, clinical guidance, or an emergency service. Subscriptions to our hospital management system and patient-facing portals are subject to separate commercial agreements and data processing terms.

What these terms cover

These terms govern the public Website and its informational content, enquiry forms and publicly available demonstrations. Our Privacy Policy and Cookie Policy explain our information and cookie practices; they do not make use of the Website consent to optional tracking or marketing.

Subscriptions to our hospital management system, paid services, trials involving live data, application accounts and patient-facing services are governed by separate agreements and applicable data processing terms. These Website terms do not grant access to those services or vary an existing customer agreement. If you access a service through a link on the Website, its separate terms apply to that service.

The Website provides general information about hospital management software, including patient records, scheduling, online booking, communications, billing, reporting, telehealth and integrations. Features and availability depend on the separate service agreement and configuration. Descriptions, indicative prices and demo requests invite discussion and do not create an offer that you can accept to establish a subscription. No software subscription, patient booking or healthcare contract is concluded through this public Website.

Regional applicability: Our services are offered to healthcare organisations in the United Kingdom and Nigeria. Features, integrations and service availability may differ between countries and are subject to the applicable service agreement, local legal requirements and any necessary permissions. References to UK-specific services or integrations do not mean those features are available in Nigeria.
03

Access and availability

We make the public Website available without a charge for access. You are responsible for your internet connection, equipment and any associated charges. We may update, suspend or withdraw all or part of it for maintenance, security, operational or legal reasons. We will give reasonable notice where practicable. We do not promise uninterrupted availability or that it will always be free from errors or harmful code.

These provisions concern the public Website only. Availability, service levels and support for customers of the hospital management system are governed by their service agreements. Please take reasonable precautions to protect your devices, including appropriate security software.

04

Website information and healthcare

Medical Disclaimer: Website materials provide general information about our business and software. They are not medical advice, clinical guidance or an emergency service. Do not rely on them to diagnose, treat or make decisions about an individual patient; obtain advice from an appropriately qualified healthcare professional.

Descriptions of features, integrations, security controls and regulatory status apply only as expressly stated and may depend on country, configuration, third-party availability and the agreed service. References to NHS connectivity relate only to eligible UK services and are subject to the relevant permissions and access conditions. The Website does not itself promise accreditation, certification, regulatory approval or compliance with every requirement applicable to a particular healthcare organisation in the United Kingdom or Nigeria. Any specific commitment must be expressly confirmed in the applicable service agreement. Nothing in this paragraph limits our own obligations under applicable law.

The Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we give no representation, warranty or undertaking, express or implied, about their accuracy, completeness, currency, availability, suitability, security or freedom from errors or harmful code. You should verify information independently and confirm required service functionality with us before entering a separate agreement. This paragraph is subject to section 9 and does not exclude fraud or a representation expressly made binding in a separate agreement.

05

Permitted use and intellectual property

We or our licensors own the intellectual property in the Website and its content, including text, designs, graphics, branding and demonstrations. You may view content and print or download reasonable extracts for personal reference or internal business evaluation of our services, provided you retain relevant notices and acknowledgements.

Unless permitted by law or our written agreement, you must not republish, sell, commercially exploit or materially modify Website content, present it as your own, or reproduce substantial parts of the Website. You must not use our name, logo or branding in a way that suggests an endorsement or affiliation without permission. Rights not expressly granted are reserved.

06

Responsible use

You must use the Website in accordance with applicable law, including the laws applicable to your access and use in the United Kingdom or Nigeria. You must not introduce malicious code; attempt unauthorised access; evade security measures; interfere with availability; impersonate another person; send unlawful, abusive or misleading material; infringe intellectual property or privacy rights; or use forms for unsolicited promotions.

Scraping & AI Training Restriction: You must not carry out automated extraction or scraping of Website content, or use it to train an AI model, without our written permission, except to the extent such restriction is prohibited by law. Ordinary search-engine indexing that respects our published technical instructions is permitted.

We may restrict access reasonably where needed to prevent or address misuse, protect security, or comply with law. If appropriate and lawful, we may report suspected unlawful activity to relevant authorities. This does not create a right to suspend contracted services outside their own terms.

07

Enquiries demonstrations and submitted information

Please provide accurate information when contacting us and do not submit information you are not authorised to share. Public enquiry forms and demonstration tools must not be used to upload patient records, health information or other sensitive personal information. Use synthetic or properly anonymised example data for public demonstrations.

Sending an enquiry does not create a confidential clinical communication or a healthcare relationship. If confidential business information needs to be shared, agree an appropriate secure channel and any confidentiality arrangements with us first. We handle personal information in accordance with our Privacy Policy.

You retain ownership of material you submit. You give us permission to use it only as reasonably necessary to receive and respond to your request or provide the function you requested, subject to confidentiality obligations and applicable data protection law. We do not acquire a general right to publish your submissions.

08

Links to and from the Website

Links to external websites are provided for convenience. Unless expressly stated, they do not mean we endorse the external provider or its content. We do not control external websites; check their terms and privacy notices.

You may link to our home page fairly and lawfully, without suggesting an unapproved association or endorsement. Do not frame the Website or present our content as part of another website without permission. We may require removal of a link that breaches these conditions.

09

Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Nothing in these terms excludes, restricts or waives any mandatory right or remedy available under applicable UK or Nigerian law, including the Federal Competition and Consumer Protection Act 2018 where it applies.

If you use the Website for business purposes, subject to the first paragraph of this section and to the fullest extent permitted by law, we exclude all liability for loss, damage, cost or expense arising out of or in connection with your access to, use of, inability to use, or reliance on the Website or its content, and links, downloads or materials made available through it, whether in contract, tort (including negligence), misrepresentation, breach of statutory duty or otherwise. This includes direct, indirect and consequential losses, loss of profit, revenue, business, anticipated savings, opportunity, goodwill, and loss or corruption of data, and damage caused by malicious code or unauthorised access, in each case to the extent that the exclusion is lawful.

Liability Cap for Public Website: Our total aggregate liability to a user for all claims relating to the Website is limited to £100. The exclusion and this fallback limitation are subject to any applicable statutory requirement of reasonableness. Each exclusion applies separately to the extent it is enforceable; none overrides the first paragraph of this section.

To the extent permitted by law, we are not liable for losses that were not reasonably foreseeable when these terms became binding, for business losses, or for losses caused by your unlawful use of the Website. Nothing excludes responsibility for foreseeable losses caused by our breach or failure to use reasonable care and skill where the law requires that responsibility, or removes any mandatory consumer right.

This section applies only to the public Website, which is supplied without an access charge and for general information. It does not affect a regulator's powers, or exclude any statutory data protection right or compensation that cannot lawfully be excluded or limited.

The business-user exclusions and financial limitation above apply only to the extent permitted by the law applicable to the relevant claim. Use of the Website for business purposes does not remove any mandatory statutory protection available to that user.

10

Changes to these terms

We may revise these terms to reflect changes to the Website or the law. The effective date is shown in the header and footer. Updated terms apply prospectively to use after they are made available; they do not retrospectively change accrued rights or vary a separate service agreement. Check the current version when you use the Website.

11

Governing law and disputes

These terms and any non-contractual obligations arising out of or in connection with them are governed by the law of England and Wales.

If you use the Website for business purposes, the courts of England and Wales have exclusive jurisdiction, except to the extent that applicable mandatory law requires otherwise.

If you are a consumer, this choice of law does not deprive you of any mandatory protections available under the law applicable to you, including applicable consumer protection laws in the United Kingdom or Nigeria. You may bring proceedings in any court available to you under applicable law.

Nothing in these terms prevents any person from making a complaint to a competent regulator or exercising any right or remedy that cannot lawfully be restricted.

12

General provisions

If a provision is unlawful or unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a right does not waive it.

No person other than you and us is intended to have a right to enforce these Website terms under the Contracts (Rights of Third Parties) Act 1999.
